TERMS & CONDITIONS
SAFEKEEP STORAGE PRIVATE LIMITED
These Terms and Conditions govern the use of services provided by SafeKeep Storage Private Limited (hereinafter referred to as “SafeKeep” or “the Company”). By availing any service from SafeKeep, the Customer is deemed to have read, understood, and agreed to be bound by these Terms and Conditions.

Definitions
For the purpose of these Terms and Conditions, the following expressions shall bear the meanings assigned hereunder:
“Article” shall mean each separate item stored or transported by the Company. For clarity, where two or more items are packed within a single carton, such carton shall constitute one Article.
“Storage Container” shall mean Storage Unit as provided by the SafeKeep admeasuring size of 10 Feet X 5 Feet.
“Company” shall mean SafeKeep Storage Private Limited, a company registered under the Companies Act, 2013.
“Quotation” refers to the price quoted by SafeKeep for the Storage Container or services, in accordance with these Terms and Conditions.
“Customer” shall mean the individual or entity contracting with SafeKeep for its services, regardless of ownership of the Goods.
“Goods” shall refer to any item(s) to be stored, excluding those listed under SafeKeep’s prohibited items list.
“Services” shall encompass Transfer Services, Storage Services, and/or Porter Services (i.e., physical transfer of Goods from one location to another).
“Warehouse” shall mean any premises, whether owned or leased by SafeKeep, where the Goods are stored.
“Collection Date” shall refer to the date specified by the Customer for the collection of the Articles.
“Working Hours” shall mean the hours between 10:00 AM and 6:00 PM, Monday to Saturday, excluding public holidays.

Unique Storage Model
SafeKeep provides a distinctive storage solution designed with a focus on convenience and portability for the Customer’s goods through its Exclusive Storage Model and Flexi Storage Model.

Exclusive Storage Model

Upon booking a Storage Container, SafeKeep shall make the Storage Container available to the Customer at its designated warehouse. Alternatively, at the Customer’s option and for an additional cost as specified in the Schedule – A, SafeKeep shall deliver the Storage Container to the Customer’s doorstep. The Customer may either load the articles into the Storage Container independently or with prior intimation to SafeKeep shall choose to engage SafeKeep’s Porter Services for assistance, subject to additional charges as specified in Schedule – A.
Thereafter, the Storage Container shall be locked by the Customer and transported to the designated Warehouse of SafeKeep. The Customer retains the key and may access the Storage Container at the Warehouse during Working Hours for the purposes of:
i) inspection of Goods;
ii) identification and removal of specific items;
iii) addition of further items; and/or
iv) full or partial withdrawal of stored Goods.

Flexi Storage Model

SafeKeep provides a distinctive storage solution for goods of smaller quantities as well for a minimum of Ten (10) square feet. The area of the materials stored and the billing amount shall be computed on examination of the goods to be stored by the SafeKeep team. Under the Flexi Model, Customers may store their goods in a shared storage container. Notwithstanding the shared nature of such container, the lock and key thereof shall remain in the exclusive custody of SafeKeep’s authorised personnel, and the said storage container shall be opened only upon the Customer’s request during Working Hours, strictly for the purposes of:
i) inspection of Goods;
ii) identification and removal of specific items;
iii) addition of further items; and/or
iv) full or partial withdrawal of stored Goods.

Warehouse Access
Access to the Warehouse is granted upon prior intimation by the Customer via WhatsApp or the contact numbers listed on the SafeKeep website. Missed appointments may be rescheduled with sufficient notice.

Service Models and Payment
SafeKeep offers storage on a monthly rental basis as stipulated by SafeKeep from time to time. Customers must indicate their preferred model when requesting a Quotation and shall make an advance payment to confirm the booking. Payment terms and promotional offers may be revised at SafeKeep’s discretion.

Customer Access to Storage
Customers may access their Storage Containers for the purposes stated in Clause 2, during Working Hours and with reasonable prior notice to the Company.

Customer Responsibility for Security
The Customer is solely responsible for the goods stored by them in the Storage Container and SafeKeep shall not be responsible for the contents therein. Customers are encouraged to obtain insurance coverage for their Goods and to inform SafeKeep in the event such insurance is procured.

Prohibited Items
Customers must not store any items included in SafeKeep’s prohibited items list or any items that cannot fit within the designated Storage Container. In the event of violation, SafeKeep may, depending on the associated risk, notify the Customer, demand immediate removal of the item(s), terminate the agreement, and/or forcibly allow access the Storage Container in compliance with applicable laws. It is also agreed and accepted that the Customer shall not be allowed to store goods more than 1000 Kgs. and if found to do, it shall be treating as violation of the terms and conditions and shall attract penalty and charges, as applicable by law.

Nominee and Authorized Representatives
Customers are required to provide details of a Nominee including Aadhar Card or any other identification proof who may access the Storage Container in their absence. The Customer may also authorize a representative to access the Storage Container by sharing the key. SafeKeep will verify such representatives. The Company shall not be liable for any loss or consequence arising from such authorized access and shall be deemed to be acting as per the instructions of the Customer.

Limitation of Liability
SafeKeep shall only be liable to the extent of the rent amount or Rs. 5000/- (Rupees Five Thousand) in any situation whatsoever. Anything beyond the control of the SafeKeep and damages resulted from the act of the Customer or by their negligence or in violation of the terms and conditions, no liability would be applicable upon the SafeKeep.
For Goods transported in the Storage Unit, SafeKeep shall be liable for any loss or damage to the goods directly attributable to SafeKeep or its agents to the extent of the freight amount paid provided the amount so calculated shall not exceed the value of the goods or the rental amount or Rs. 5000/- (Rupees Five Thousand), whichever is lower.
If the customer avails the Porter model, SafeKeep shall be only liable for any loss, theft or damage directly attributable to SafeKeep’s agents of packaged to the extent of Rs. 1500/- (Rupees One Thousand Five Hundred) or the value of the goods, whichever is lower.

Legal Compliance and Customer Obligations
Customers shall comply with all relevant laws and regulations and provide accurate and complete information as required by SafeKeep (including any document or identification proof) to facilitate the services. Customers must not submit dangerous, explosive, corrosive, or otherwise harmful items. Any breach shall render the Customer liable to indemnify SafeKeep for resulting losses or damages.

Services for Transfer of Goods
SafeKeep at its discretion may provide additional assistance for transfer of goods of the customer wherein the personnel shall first assess the location from which the Goods are to be transferred to the designated warehouse. Pickup charges shall be computed based on the location and duration of loading and shall be communicated accordingly.

Additional Charges for Transfer of Goods
Charges not included in the initial Quotation include, but are not limited to: long carry, elevator/society/parking fees, vehicle detention, tolls, taxes, entry/exit fees, and hoisting charges. Customers must ensure suitable access to their premises; additional arrangements or charges may apply if access is inadequate. The customer shall be subjected to certain additional charges, which are described in Schedule – A which maybe amended from time to time.

Insurance
SafeKeep maintains insurance for its Warehouse and Storage Containers against fire, marine and Burglary. This coverage excludes goods stored, force majeure events, and government confiscations. Customers may obtain additional insurance at their discretion for the goods stored and must inform SafeKeep accordingly.

Working Hours and Special Requests
Services are performed during Working Hours which shall be 10.00 AM to 6.00 PM IST. SafeKeep may consider requests for services during public holidays or beyond regular hours, subject to additional charges.

Duration and Extension of Service
Storage may be extended only by rebooking the Storage Container once the existing booking tenure is completed.

Default and Recovery Mechanism
Failure by the Customer to make timely payments or to vacate the Storage Container upon expiry or termination of the contract shall constitute a “Default.” SafeKeep shall issue reminders 3 times from the due date for payment and vacating the Storage Container. If the Customer fails to clear all outstanding dues within 30 days of the due date, SafeKeep shall have the right to break the lock, access the Storage Container, and sell the Customer Goods.
In such an event, the Customer shall also be liable to demurrage charges for the extended occupation of the Storage Container beyond the agreed term. SafeKeep shall be entitled to recover all outstanding dues, including arrears, penalties, demurrage charges, and associated recovery costs, from the proceeds of the sale. The Goods shall be sold in a single sale transaction, and any surplus amount remaining after deduction of the above shall be returned to the Customer.

Right of Lien
SafeKeep retains a lien on stored Goods for unpaid dues. If not discharged within one month, the Company is entitled to dispose of the Goods without further notice and recover the remaining balance through lawful means.

Late Payment Penalty
Late payment penalties shall accrue from the date of Default which shall be mentioned at Schedule – B.

Contractual Terms and Early Termination
All services are governed by the Indian Contract Act, 1872. Once accepted, a Quotation is binding. Should the Customer cancel the Contract before completion, they shall be liable for the full quoted charge.

Cancellation Policy
For bookings cancelled prior to the service start date:
i) Cancellation ≥ 72 hours prior: full refund
ii) Cancellation 24–72 hours prior: 50% refund
iii) Cancellation < 24 hours prior: no refund

Exclusions of Liability
SafeKeep shall not be liable for:
i) Indirect or consequential loss
ii) Force majeure events (e.g., natural disasters, malicious acts, theft)
iii) Natural wear and tear
iv) Customer or representative’s acts or omissions
v) Internal damage to items
The Company’s liability is limited to the amount as mentioned in Clause 9 if the damages are resultant for any other reasons not mentioned above.

Damages from Prohibited Items
Any Customer whose storage of prohibited or hazardous materials results in damage to SafeKeep’s or other tenants’ property shall be liable to compensate such damage as determined by SafeKeep, whose assessment shall be final.
In case of any disputes in the aforesaid terms and conditions, the decision of SafeKeep shall be final and binding on the Customer.

Jurisdiction
In the event of any dispute or difference between the Customer and the SafeKeep, whether arising during the currency or after the expiry/termination of the Service, or after the determination thereof (whether for breach or for any other reason) in regard to any matter or thing of whatsoever nature arising out of these terms & conditions or in connection therewith, then the court of Jaipur, Rajasthan shall have the exclusive jurisdiction to entertain and try any disputes and/or claims arising out of or under the terms of this Service or in any way relating to the same.

Applicable Law
These Terms & Conditions and any contract to which they apply shall be governed by and construed in accordance with the laws in force in Rajasthan, India.

Severability
Except as expressly provided to the contrary herein, each portion, section, part, term and/or provision of these Terms and Conditions shall be considered severable; and if, for any reason, any portion, section, part, term and/or provision of these Terms & Conditions is determined to be invalid and contrary to, or in conflict with, any existing or future law or regulation by a court or agency having competent jurisdiction, such infirmity shall not impair the operation of, or have any effect upon, such other portions, sections, parts, terms and/or provisions of these Terms & Conditions which may remain otherwise intelligible and the latter shall continue to be given full force and effect and bind the Parties hereto; and the said invalid portions, sections, parts, terms and/or provisions shall be deemed not be a part of these Terms & Conditions.

Conduct
SafeKeep and the Customer undertakes to act in good faith and cooperate with each other to fulfil their respective obligations under these Terms & Conditions. The Customer and SafeKeep shall conduct themselves in a professional, courteous, and respectful manner at all times. Neither Party shall engage in conduct that may be deemed unlawful, unethical, or damaging to the reputation or operations of the other Party. Any failure or delay by either Party to enforce any provision of these Terms and Conditions shall not constitute a waiver of their rights to enforce the same at a later date.
- Amendment and Acceptance of Terms
SafeKeep reserves the right to amend, modify, or update these Terms & Conditions from time to time at its sole discretion. The Customer shall be responsible for checking these terms and conditions from time to time and ensure continued compliance with the terms and conditions. The continued use of SafeKeep’s services by the Consignor or Sender or Customer (as the case may be), after any such amendment or change in the Terms and Conditions shall be deemed as the Customer’s express acceptance to such amended/changed terms and the Customer also agrees to be bound by such changed/amended Terms and Conditions. The Customer agrees that Porter’s services are subject to all prevailing statutory taxes, duties, fees, charges and/or costs, however denominated, as may be applicable from time to time. It shall be the Customer’s responsibility to ensure compliance with applicable laws on payment of taxes and pay the prevailing charges and duties which shall form part of the invoice raised by SafeKeep.
SCHEDULE A
Additional charges for transfer of goods, packing, moving, handling, loading, etc.

Storage Container will be brought to your door step at an additional cost which will be computed at Rupees Five Hundred Only (Rs. 500/-) for every Five Kilometres (5KMs) upto maximum Forty Kilometres (40KMs). The aforesaid distance shall be calculated from SafeKeep’s Warehouse location.

Charges for long carry, elevator / society / parking fees, vehicle detention, tolls, taxes, entry/exit fees, hoisting charges, etc. will be extra, to be shared at the time of delivery of storage container at customer’s given address.

Porter service provided by SafeKeep shall chargeable at Rs. 800/- per person alongwith Rs. 200/- per person as handling charges and the pickup charges from the location to the container shall be communicated upon assessment.

Packaging items :-

Cartons (Approx Size 44x34x32) at 50/- per piece plus taxes

Bubble wraps at Rs. 800/- per roll plus taxes
The total packing cost shall be notified at the venue itself after due examination of all the goods.

Loading & unloading time of 3 hours will be free of cost. Anything beyond that will be charged 1000/- per hour extra, maximum to 2 extra hours only, after which the vehicle will return to the warehouse.
SCHEDULE B
Penalty and late charges
₹300 per day as occupation charges and penalty for delayed payment.
These continue until full settlement or recovery through Clause 16.
